Terms of Service

Please read these Terms of Service ("Terms", "Agreement") carefully before using the website and services operated by O'Here Media ("us", "we", or "our"). By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the service.

1. Scope of Services

O'Here Media provides digital performance marketing services, including but not limited to:

  • Meta (Facebook/Instagram) Ads Management
  • Google Ads Management
  • Creative Strategy Consultation
  • Conversion Rate Optimization (CRO) Advisory

We act as an independent contractor and not as an employee of the Client.

2. No Guarantee of Results

While we employ industry-best practices and data-driven strategies to maximize performance, O'Here Media does not guarantee specific results (e.g., specific ROAS, number of leads, or sales volume). Digital marketing performance is influenced by numerous external factors including market conditions, competition, platform algorithm changes, and the Client's product/offer viability.

3. Payments and Billing

  • Service Fees: Fees are payable in advance on a monthly basis. The current rate for our Growth Package is ₹9,999/month.
  • Ad Spend: The Client is solely responsible for paying all advertising costs directly to the ad platforms (e.g., Facebook, Google). Our fees do not include ad spend.
  • Late Payments: We reserve the right to pause or terminate services immediately if payment is not received by the due date.
  • Taxes: All fees are exclusive of applicable taxes (GST) unless stated otherwise.

4. Client Obligations

The Client agrees to:

  • Provide timely access to necessary accounts (Ad Accounts, Analytics, etc.).
  • Provide creative assets (images, videos) unless otherwise agreed.
  • Ensure their product/service complies with ad platform policies.

5. Intellectual Property

Unless otherwise agreed, the Client retains ownership of their pre-existing intellectual property. O'Here Media retains the rights to the strategies, frameworks, and methodologies used. Upon full payment, the Client is granted a license to use the ad creatives and copy generated during the term of service.

6. Limitation of Liability

In no event shall O'Here Media, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service.

7. Termination

Either party may terminate the agreement with a written notice (email or WhatsApp) before the next billing cycle. Services will continue until the end of the current paid period. No refunds will be issued for the remaining days of a billing cycle upon cancellation.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.
